SERVICES AGREEMENT This Services Agreement (the "Agreement") is entered into as of [Date] by and between [Client] (the "Client") and [Service Provider] (the "Provider"). 1. Services. Warranty; Limitation of Liability. The Provider warrants that the Services will be performed in a professional manner. Except for that warranty, the Services are provided "as is." Neither party is liable to the other for any indirect, incidental, or consequential damages. 8. Governing Law. This Agreement is governed by the laws of the State of [State], without regard to its conflict-of-laws principles. 9. Entire Agreement. This Agreement is the entire agreement between the parties regarding its subject matter and may be amended only in a writing signed by both parties.
